1. Acceptance of terms

These Terms & Conditions ("Terms") form a binding agreement between you and Commoat ("Commoat", "we", "us", or "our") and govern your access to and use of the Commoat platform, websites, applications, APIs, and related services (together, the "Service"). By creating an account, clicking "I agree", or otherwise accessing or using the Service, you accept these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Account" means the workspace registered to access and use the Service.
  • "Agent" means a user seat with access to your Account.
  • "Customer Data" means data, messages, contacts, and content that you or your end-users submit to or process through the Service.
  • "End-User" means a customer or contact with whom you communicate using the Service.
  • "Subscription" means the paid plan, term, and add-ons you select.
  • "Documentation" means our published guides and help materials for the Service.

3. Accounts & eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for safeguarding your credentials, for all activity that occurs under your Account, and for the acts and omissions of your Agents. Notify us immediately at hello@commoat.com of any unauthorized use or suspected security breach.

4. License & use of the service

Subject to your compliance with these Terms and payment of applicable fees, Commoat grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the Subscription term. All rights not expressly granted are reserved by Commoat.

You will not, and will not permit any third party to:

  • Copy, modify, translate, or create derivative works of the Service;
  • Reverse engineer, decompile, or attempt to derive source code, except where permitted by law;
  • Resell, rent, lease, or provide the Service as a service bureau to third parties without our consent;
  • Remove or obscure any proprietary notices, or circumvent usage limits or security controls.

5. Plans, billing & payments

The Service is offered on a service-based subscription model. Each service plan carries its own base subscription, includes a defined number of free Agents, and charges an additional recurring fee for each extra Agent, as presented to you before you confirm a Subscription.

5.1 Fees & billing cycle

Unless otherwise agreed, paid Subscriptions are billed in advance on a recurring basis (for example, monthly) and renew automatically for successive terms until cancelled. By subscribing, you authorize us or our payment processor to charge your payment method for all applicable fees.

5.2 Taxes

Fees are exclusive of taxes, levies, or duties (including GST) unless stated otherwise. You are responsible for all such taxes associated with your purchase, excluding taxes based on Commoat's net income.

5.3 Late or failed payments

If a charge fails or a payment is overdue, we may suspend or limit your access until amounts are paid. We may also update pricing; we will give reasonable prior notice of material changes, which take effect on your next renewal.

5.4 Refunds

Except where required by law or expressly stated, fees are non-refundable and there are no refunds or credits for partial periods, unused Agents, or features not used.

6. Free trials & beta features

We may offer free trials or evaluation access. At the end of a trial, your Account may be paused or converted to a paid Subscription unless you cancel. We may also offer features identified as "beta", "preview", or "early access", which are provided "as is", may be changed or withdrawn at any time, and are excluded from any service commitments.

7. WhatsApp & third-party services

The Service integrates with the WhatsApp Business Platform and other third-party services operated by Meta Platforms, Inc. and other providers. Your use of those integrations is additionally governed by the applicable third-party terms and policies, including the WhatsApp Business Messaging Policy and Meta's platform and commerce policies. You are responsible for complying with those policies — including rules on opt-in, consent, approved message templates, and prohibited content. Commoat is not responsible for the availability, changes, rate limits, suspensions, or actions of third-party platforms.

8. Acceptable use

You agree not to use the Service to:

  • Send spam, bulk unsolicited messages, or content that violates anti-spam or messaging laws;
  • Contact individuals without a lawful basis or the consent required by applicable law;
  • Transmit unlawful, harmful, defamatory, fraudulent, infringing, or obscene content;
  • Infringe intellectual property or violate the privacy or rights of any person;
  • Distribute malware, or probe, scan, or attempt to breach security or authentication;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to build a competing product or benchmark without our written consent.

We may investigate suspected violations and may remove content or suspend or terminate Accounts that breach this section.

9. Customer data & data processing

As between the parties, you retain all rights in your Customer Data. You grant Commoat a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service and as described in our Privacy Policy. Where Commoat processes personal data on your behalf, we act as a processor and you as the controller. You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining all consents and notices required from your End-Users.

10. Intellectual property & feedback

The Service, including all software, models, design, text, graphics, and trademarks, is and remains the exclusive property of Commoat and its licensors, protected by intellectual-property laws. The "Commoat" name, logo, and brand marks may not be used without our prior written consent. If you provide suggestions or feedback, you grant Commoat a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

11. Confidentiality

Each party may access confidential information of the other. The receiving party will use the same degree of care it uses to protect its own confidential information (and no less than reasonable care), will use it only to exercise rights and perform obligations under these Terms, and will not disclose it except to personnel and advisors bound by confidentiality. This section does not apply to information that is public, independently developed, or rightfully received from a third party.

12. Service availability & support

We aim to keep the Service available and reliable but do not warrant uninterrupted or error-free operation. The Service may be unavailable during planned maintenance, updates, or events beyond our reasonable control. Support is provided in accordance with your plan and our then-current support practices.

13. Suspension & termination

You may cancel your Subscription at any time from your Account settings or by contacting us; cancellation takes effect at the end of the current billing term. We may suspend or terminate your access, in whole or in part, if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that poses a security, legal, or reputational risk. Upon termination, your right to use the Service ceases and we may delete Customer Data after a reasonable retention period, subject to applicable law. Sections intended to survive termination will survive.

14. Disclaimers

To the maximum extent permitted by law, the Service and all related materials are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Commoat does not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that results, including AI-generated outputs, will be accurate or reliable.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to these Terms or the Service, even if advised of the possibility. Commoat's total aggregate liability for all claims arising out of or relating to the Service will not exceed the amounts you paid to Commoat for the Service in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You will defend, indemnify, and hold harmless Commoat and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, and reasonable expenses (including legal fees) arising from your Customer Data, your use of the Service, your violation of these Terms or applicable law, or your infringement of any third-party rights, including any claims relating to messages you send to End-Users.

17. Changes to the service & terms

We may modify, enhance, or discontinue features of the Service from time to time. We may also update these Terms; if changes are material, we will provide reasonable notice, such as posting the updated Terms with a new "Last updated" date or notifying you within the Service. Changes are effective when posted unless stated otherwise, and your continued use after that date constitutes acceptance.

18. Governing law & dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory laws, the courts located in India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service. The parties will first attempt to resolve any dispute informally by contacting each other before pursuing formal proceedings.

19. General provisions

19.1 Entire agreement

These Terms, together with any order, plan details, and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements on the subject.

19.2 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.3 Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party platforms, internet failures, or acts of government.

19.4 Severability & waiver

If any provision is held unenforceable, the remaining provisions remain in effect. A party's failure to enforce a provision is not a waiver of its right to do so later.
